Terms & Conditions

These Terms & Conditions of Service ("Terms") constitute a legally binding contract between Restrosoft Solutions Private Limited ("we", "us", "our", or "eresto") and the business entity or individual registering for and using our Platform ("Customer", "you", "your").
By accessing our website, subscribing to our service plans, installing our POS local software (eresto Edge), or using any applications or services provided by us (collectively, the "Services"), you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or registered restaurant entity, you warrant that you have the legal authority to bind that entity.
1. SaaS License & Scope of Use
Subject to compliance with these Terms and timely payment of subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal restaurant business operations.
Restrictions: You shall not, directly or indirectly:
- Reverse engineer, decompile, or disassemble any part of the POS binary applications, local synchronization engines, or cloud modules.
- Resell, lease, sublicense, or distribute the Services to third parties without our prior written consent.
- Use the Platform to build a competitive product, software, or service.
- Attempt to bypass security constraints, data storage sandbox limits, or API request rate limits.
2. Customer Accounts & Security
To use our Platform, you must create a verified account by providing accurate business credentials, including contact information and your GSTIN (if applicable). You are responsible for:
- Maintaining the confidentiality of account administrator passwords, supervisor PINs, and captain login keys.
- All operational activity occurring under your restaurant instance (including orders billed, void transactions, tax rates configured, and employee shifts logged).
- Promptly notifying us of any suspected security leaks or unauthorized access to your account.
3. Service Access & Offline Continuity (eresto Edge)
Our Platform is structured as a B2B hybrid-cloud system. The POS module (eresto Edge) is designed to operate locally in offline mode during network or internet outages. While we use commercial efforts to ensure high uptime for our cloud servers, you acknowledge that:
- Cloud synchronization and real-time rollup dashboards require an active internet connection.
- We are not liable for sales tracking delays, SMS delivery lags, or aggregator order sync failures caused by ISP outages, local router issues, or hardware failures at your restaurant location.
- Regular scheduled cloud maintenance will be performed during off-peak hours, with advance notification.
4. Subscription Plans, Billing & Strict No-Refund Policy
We bill subscriptions on a recurring basis (monthly or annual billing cycles, depending on the plan selected by the Customer):
- Subscription Fees: All fees are exclusive of statutory taxes (such as 18% GST in India), which will be appended to invoices. Fees are billed in advance of the service period.
- No Commissions: We do not charge per-bill or per-transaction fees. Our rates are flat subscription charges.
- Strict No-Refunds Policy: All sales are final. We do not offer refunds, cash credits, or pro-rated returns for any unused portions of subscription periods. If you choose to terminate your subscription before the end of your billing cycle (monthly or annual), your access will continue until the cycle expires, and no refund will be issued.
- Late Payments: If subscription payments fail, we reserve the right to suspend cloud backup, dashboard access, and menu synchronization after a grace period of five (5) business days.
5. Intellectual Property Rights
Restrosoft Solutions Private Limited retains all right, title, and interest in and to the Platform and Services, including all source code, software architecture, mobile app builds, UI designs, QR menu templates, database schemas, brand trademarks, and documentation. No property transfer or assignment is executed under these Terms.
You retain all intellectual property rights to your custom uploaded menu items, prices, restaurant banners, logos, and raw operational transaction logs.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Restrosoft Solutions Private Limited be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, business interruption, data loss, inventory variance, or tax penalties) arising out of or related to your use of the Services.
Our cumulative aggregate liability for all claims arising out of this agreement shall be capped at the total subscription fees paid by you to us during the six (6) month period immediately preceding the event giving rise to liability.
7. Indemnification
You agree to defend, indemnify, and hold harmless eresto and its directors, officers, employees, and agents from and against any claims, liabilities, damages, or costs (including legal fees) arising from your configuration of incorrect tax structures (GST), non-compliance with regional food safety regulations (FSSAI), or disputes with your restaurant employees or dining guests.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or the Platform services shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
